We're seeking a highly motivated and experienced General Counsel to join the W23 Global leadership team. 


This key leadership role provides expert, pragmatic, and commercially-focused legal advice across W23 Global's venture capital activities. The role is critical in negotiating, structuring, diligencing and executing investments. It also leads compliance, regulatory,  and fund management legal matters,  and is pivotal in supporting W23 Global’s overall strategic objectives.

What you’ll do

  • Transactions: Accountable for leading legal due diligence, drafting, reviewing and negotiating term sheets, subscription agreements, shareholders' agreements, warrant agreements, side letters and other transaction-related documents as well as deal execution.

  • Fund Legal Matters: Responsible for advising on the fund legal structure, fund agreements, regulatory and corporate filings and compliance (including Privacy & AML)

  • General Corporate: Accountable for general corporate and commercial matters, such as third-party supplier agreements.

  • Compliance Oversight: Accountable for developing, implementing, and monitoring compliance policies and procedures relevant to the fund's activities.

  • Portfolio Company Support: Accountable for providing relevant legal guidance and oversight concerning portfolio company shareholder matters.

  • Internal Advisory: Serve as a primary legal point of contact and trusted advisor for internal teams on a day-to-day basis.


What you’ll bring

  • Deep understanding of corporate law, with a background in venture capital, private equity or M&A.

  • Familiarity with investment fund formation, structuring, and governance.

  • Understanding of intellectual property, privacy, and technology law concepts relevant to venture capital investments.

  • Qualified lawyer holding a current practicing certificate in Australia which entitles you to provide legal services directly to clients on your own account (i.e. to clients other than your employer, Woolworths Group Limited, and its subsidiaries). Admission in or working experience in other key jurisdictions (such as the UK) a plus.

  • Strong experience gained within a reputable law firm (VC/PE or M&A team) and/or in-house legal team within the venture capital or private equity industry.
